Seng Siew has over 29 years of practice experience in civil litigation and commercial transactions, concentrating mainly on technology-related matters. In addition to practice experience, the years when he was CEO of a technology start-up (2000-2003) and Senior Director of the Technology Cluster, Singapore Academy of Law (2008-2011) have also gained him practical experience managing technology projects as well as the daily operations of such entities.

His combined experience translates to practical advice to clients who intend to start a new or run a technology business in the digital economy, manage their technology partners, and/or develop technology projects. His litigation experience means that he had the ability to spot potential problem areas and suggest possible solutions.

In recognition of his expertise, he is an accredited specialist in Data and Digital Economy Law by the Singapore Academy of Law in its pioneer batch of 2023.

In addition to his active legal practice, Seng Siew is also an active representative of the legal profession in dealing with the government and the judiciary. He would give feedback on policy matters to the authorities.

Work Experience

1986 to 1990 – Braddell Brothers, Singapore

General litigation with a commercial leaning. Worked both independently and assisted Mr Harry Lee Wee, a senior litigation lawyer of the Singapore Bar.

Among the noted cases I have handled is one involving a very large sum of money deposited with a Japanese bank in Singapore by an Indonesian official. The Indonesian government took the position that the money was the proceeds of a bribe.

1991 to 1992 – Khaw & Hussein, Kuala Lumpur, Malaysia
General commercial law-related work. Part of a team in the corporate/ commercial department.

  • Advising foreign investors on Malaysian regulations and guidelines for foreign investments to Malaysia. Advising on the appropriate corporate structure for such ventures. Among the clients are listed companies in Japan, Australia, United Kingdom and Germany.
  • Advising on listing requirements on the Kuala Lumpur Stock Exchange and acting for clients intending such listing.
  • Advising on the Code of Takeover and Mergers of companies listed on the Kuala Lumpur Stock Exchange and acting for clients intending to carry out a takeover of a listed company. Acted for parties involved in the 2 largest reverse takeovers of Malaysian listed companies in 1992.
  • Advising and acting for insurance companies, financial institutions and other corporations on compliance with relevant regulations. Advising and acting for receivers and managers of companies.
  • Advising on franchising structures in Malaysia.
1992 to 1994 – Syed Paul & Co, Kuala Lumpur, Malaysia

General corporate and conveyancing work.

  • Involved in the “negotiation team” for the disposal of certain businesses of a company to a Malaysian listed company.
  • Involved in the computerizing of the firm’s practice.
1994 to 2008 – Ong Tay & Partners, Singapore

Commercial litigation and corporate work carried out at partnership level with an emphasis in the hospitality industry and in the Information Technology industry.

  • Advising on regulations in the Peoples’ Republic of China in the telecommunications industry. Advising on the appropriate corporate structure for the investment into China. Evaluating with the client the commercial documentation for the investment and joint venture.
  • Advising on the structuring of cross-border franchises, both Singapore grown and international.
  • Advising a Singapore/Indonesia/Japan oil & gas joint-venture on investment strategies into Cambodia.
  • Advising on technology transfer arrangements for Singapore companies to Malaysia and Indonesia. Liaising with the relevant parties in these countries.
  • Advising on Singapore company and tax regulations for foreign companies intending to establish a presence in Singapore. Clients are involved in the information technology industry, whether as developers of hardware/software or as IT consultants.
  • Advising on software development agreements, copyright & licensing arrangements for clients.
  • Advising clients on the establishment of an internet presence, the regulations in Singapore and on e-commerce.
  • Computerizing of the firm’s practice, specifically workflow systems, knowledge management systems and accounting systems. Acquisition of the appropriate networking system, dedicated legal management software, hardware and software acquisition.
  • Putting into place workflow systems to maximize the benefits of computerization. Re-organizing the corporate and litigation departments following implementation of workflow systems. Training of staff to follow the workflow systems.
  • Implementation of a Y2K Compliance and Contingency Program for the Firm.
  • Advising on environmental law, Kyoto Protocol and carbon trading mechanisms as applicable in Singapore.
  • Minor admiralty practice working with a Norwegian law practice with an office in Singapore.
2000 to 2003

The Portal WWLegal.com Pte Ltd, Singapore
Managing Director of the company having charge of the strategy and direction of the Company.

WWLegal is a IT start-up targeting the legal market in Singapore and Malaysia. The Company developed an online workflow application using best-of-breed application from the UK, Solcase, and integrated it with a payment system developed locally. Legal Practices would subscribe and use the application. Clients would pay for legal services using the payment system using their credit cards.

2008 to 2011
Senior Director, LawNet, E-Publishing & Legal Technology, Singapore Academy of Law

Managing the Academy’s online legal research & legal technology cluster. The cluster manages legal research, due diligence and litigation products used by lawyers in Singapore. Overseeing the development of new legal research tools for incorporation into the product line. Negotiating with content providers for additional content; technology partners for software application development and other similar service providers on business co-operation opportunities. Project management of several IT projects.

Specific products covered includes:

  1. Legal Workbench – a research tool that covers reported and unreported case law; point-in-time legislation (statutes & subsidiary legislation); parliamentary reports;
  2. Treaties Database –  a search tool that covers treaties to which Singapore is a party;
  3. Practitioners’ Toolkit – a research tool that covers secondary legal related content like cost taxation database, sentencing database and personal injuries database.
In addition to the duties directly related to the appointment, acted as de facto in-house legal counsel to the Singapore Academy of Law.
